LOYALTY PROGRAM TERMS AND CONDITIONS for BREADLY Customers

1.GENERAL PROVISIONS

These Loyalty Program Terms and Conditions for regular customers of the BREADLY network (hereinafter referred to as the 'Terms') define the terms and procedures for participating in the BREADLY Loyalty Program (hereinafter referred to as the 'Loyalty Program' or 'Program'). This Program entitles its Participants to receive unique and exclusive benefits when visiting BREADLY, including earning and redeeming points, receiving Discounts and Privileges in accordance with these Terms;
1.2. The Loyalty Program is valid from April 1, 2025, to December 31, 2025, with the possibility of automatic renewal;

1.3. Bonus points earned by Program Participants are subject to paragraph 14 of part two of Article 369 of the Tax Code of the Republic of Uzbekistan and are considered part of the Program organized by the Company to increase the purchasing activity of BREADLY customers;

1.5. Upon registration in the Loyalty Program Information System, the Participant enters into a legal relationship with the Company, fully and unconditionally accepts these Terms, undertakes to comply with them, and becomes entitled to the Program benefits; 1.6. The Loyalty Program operates within the territory of the Republic of Uzbekistan in the BREADLY network and applies to all branches unless otherwise specified in these Terms;

1.7.LLC 'ARTISAN BREAD' (hereinafter referred to as the 'Company') reserves the right to unilaterally amend these Loyalty Program Terms with prior notice to Participants at least 7 (seven) calendar days before the effective date of such changes by publishing the relevant notice through the Company’s Official Communication Channels.


2. TERMS AND DEFINITIONS

2.1.'Promotion' / 'Special Offer' – a temporary or other type of marketing activity conducted by the Company to stimulate purchases and customer activity in the BREADLY network. May include discounts, gifts, contests, and similar activities;

2.2. 'Bonus Point' – a unit equivalent to 1 Uzbek sum, credited to the Participant's Bonus Account in accordance with the Program Terms, which may be used to pay for purchases at BREADLY branches;

2.3. 'Deposit Point' – a unit equivalent to 1 Uzbek sum, credited to the Participant's Deposit Account in accordance with the Program Terms, which may be used to pay for purchases at BREADLY branches;

2.4. 'Information System' – the hardware-software system used by the Company to register Participants, manage their Accounts, record Transactions, process personal data, and provide access to the Loyalty Program through the official corporate website breadly.uz and the official Telegram bot @breadly_delivery_bot;

2.5. 'Client' – an individual making purchases at BREADLY who has not registered in the Loyalty Program in accordance with these Terms;

2.6. 'Company' – Limited Liability Company 'ARTISAN BREAD,'' the organizer of the Loyalty Program, located at 25 Okkurgon St.,Mirzo-Ulugbek District, Tashkent. Tel.: (78) 122 23 17;

2.7. 'Official Communication Channels': • Official corporate website: breadly.uz; or • Official Telegram bot: @breadly_delivery_bot.

2.8. 'Gift Point' – bonus points that may be credited by the Company to a Participant’s Account at its discretion. Gift points may have a limited validity period or special conditions of use, which are communicated to the Participant upon crediting;

2.9.'Privilege' – a non-financial or exclusive benefit provided to Program Participants at the Company’s discretion, such as special and/or priority service conditions, personalized offers, early access to new products or events;

2.10. 'Loyalty Program' / 'Program' – a set of activities aimed at rewarding regular BREADLY customers for purchases or use of its services, organized by the Company to increase customer activity in acquiring such products and services;

2.11.'Discount' – a temporary or permanent reduction in the cost of goods and/or services provided to Program Participants when paying at BREADLY branches;

2.12. 'Account' – accounts opened by the Company in its Information System in the name of the Participant upon registration in accordance with these Terms. Accounts are used to record Participant Transactions using Bonus, Deposit, and Gift Points. The Account is linked to the Participant's mobile phone number

2.13.'Transaction' – an operation to credit or deduct points from a Participant's Account when purchasing goods and/or services at BREADLY or at the Company’s discretion

2.14.Terms – the rules and provisions governing participation in the Loyalty Program, including the procedure for registration, accrual and redemption of points, provision of Discounts and Privileges

2.15. 'Participant' – an individual who makes purchases at BREADLY and has registered in the Loyalty Program in accordance with these Terms, thereby gaining access to its benefits.


3. PARTICIPATION TERMS

3.1. Any individual who is at least 16 years old at the time of registration may become a Participant of the Loyalty Program;

3.2. To become a Participant, an individual must register through the Official Communication Channels. Upon successful registration, the Participant will receive a registration number with a QR code, which can be presented when making purchases at BREADLY locations;

3.3. As of April 1, 2025, all previously registered Clients in the Company's Information System automatically become Participants of the Loyalty Program and are subject to these Terms;

3.4. 3.4. Participation in the Loyalty Program is voluntary. Completing the registration form with the correct phone number, first name, last name, and date of birth (as per identification documents) is required for registration and participation. By registering, the Participant agrees to the processing of their personal data, which is carried out in accordance with the Law of the Republic of Uzbekistan 'On Personal Data';

3.5. After registration, an Account is created in the Company's Information System in the Participant's name, linked to their mobile number, and used for tracking relevant points. If needed, the Participant may update their personal information through the Official Communication Channels;

3.6. The Company reserves the right to reject or cancel a Participant’s registration at its discretion, without providing verbal or written justification, in the following cases:

  • 3.6.1. Violation of these Terms;
  • 3.6.2. Dishonest actions aimed at circumventing the Terms;
  • 3.6.3. Abuse of Program privileges;
  • 3.6.4. Providing misleading or incorrect information during registration or thereafter;
  • 3.6.5. Dissemination of information damaging the Company's reputation;

3.7. The Loyalty Program does not apply to B2B purchases or the Company’s educational programs;

3.8. The Loyalty Program does not apply to alcoholic and tobacco products;

3.9. The Loyalty Program does not apply to products ordered via third-party delivery platforms.


4.PARTICIPATION LEVELS IN THE LOYALTY PROGRAM

4.1. A Participant may hold one of three loyalty levels, determined by the cumulative amount of purchases made at BREADLY under the Program:

  • 4.1.1. Level 1 (“Black”) – assigned automatically upon reaching a total purchase amount of 1,000,000 UZS. Bonus points equal to 5% of the amount of all subsequent purchases are credited to the Participant’s Account;
  • 4.1.2. Level 2 (“Silver”) – assigned automatically upon reaching a total purchase amount of 5,000,000 UZS. Bonus points equal to 7% of the amount of all subsequent purchases are credited to the Participant’s Account;
  • 4.1.3. Level 3 (“Gold”) – assigned automatically upon reaching a total purchase amount of 10,000,000 UZS. Bonus points equal to 10% of the amount of all subsequent purchases are credited to the Participant’s Account;
4.2. All purchases made by the Participant under the Program are accumulated progressively and count towards achieving the respective level;

4.3. The Company reserves the right to provide a limited number of Participants with a Discount when purchasing goods and services at BREADLY branches instead of awarding Bonus Points. The Discount rate is determined individually and at the discretion of the Company. In such cases, Bonus Points will no longer be accrued, and any existing points will be canceled.


5.BONUS POINT ACCRUAL

5.1. Bonus Points are accrued according to the Participant’s current loyalty level as per clause 4.1 of these Terms;

5.2. Bonus Points are accrued for payments made in cash and/or using other payment methods accepted within the BREADLY network;

5.3. Bonus Points are credited to the Participant’s Account within 2 business days after a purchase is made;

5.4. The Company reserves the right to award Gift Points at its discretion to a limited number of Participants;

5.5. The Company bears no responsibility for potential tax consequences for Loyalty Program Participants.


6.BONUS POINT REDEMPTION
6.1. Accumulated Bonus Points may be used to pay for orders at all BREADLY branches within the food service departments by scanning the assigned QR code at checkout or via the waiter’s mobile application;
6.2. Accumulated Bonus Points may also be used for orders placed through the Company’s official website or official Telegram bot by selecting the appropriate payment method in the respective section;
6.3. Bonus Points may cover up to 35% of the total bill amount;
6.4. Bonus Points earned through the Loyalty Program are valid for 6 months for Level 1, 9 months for Level 2, and 12 months for Level 3;
6.5. If Bonus Points are not used within the specified period, they will be automatically canceled;
6.6. Bonus Points may not be transferred to third parties, exchanged, or converted into cash equivalents;
6.7. If the Participant returns purchased goods, the Bonus Points credited for that purchase will be deducted from the Account after the return.

7.DEPOSIT TOP-UP7.1. Loyalty Program Participants may also top up their Account with Deposit Points;
7.2. Deposit Points may be added at any BREADLY branch cashier by presenting the assigned QR code. The cashier scans the code to identify the Participant in the Information System. The Participant specifies the amount to be credited. After payment, the amount is credited as Deposit Points to the Participant’s Account within 2 business days;
7.3. Deposit Points may be used to pay up to 100% of the total bill amount;
7.4. Existing Deposit Points may also be used for orders placed through the Company’s official website or official Telegram bot by selecting the respective payment method.

8.PERSONAL DATA PROCESSING PROCEDURE
8.1. To ensure the functioning of the Loyalty Program, the Company collects and processes the personal data of Program Participants;
8.2. By joining the Loyalty Program, the Client agrees to the Terms, confirms the authenticity of personal information provided to the Company’s Information System, and consents to the collection and processing of their personal data;
8.3. The Participant agrees that the Company may use the information provided during registration for the following purposes:
• Identification in the Loyalty Program;
•Verification of bonus accrual and redemption operations;
•Sending notifications about new products, promotions, special offers, and changes to the Program;
8.4. The method of communication is determined at the discretion of the Company;
8.5. The Company undertakes not to disclose Participants’ personal data or share it with third parties, except as required by the applicable laws of the Republic of Uzbekistan.

9.DISPUTE RESOLUTION
9.1. All disputes between the Company and a Participant shall be resolved through negotiations;
9.2. If a dispute cannot be resolved through negotiations, it shall be settled in accordance with the applicable laws of the Republic of Uzbekistan.
